Terms of Service

These terms are the agreement between you and Gateway Group for use of iDash. They cover what we provide, what you are responsible for, and what happens when something goes wrong.

By creating an account, connecting a data source, or using iDash in any other way, you accept these terms. If you are accepting on behalf of a company, you confirm you have the authority to bind that company, and you and your company are both referred to as you below.

1. The service

iDash is a hosted application that connects to data sources you nominate, answers questions asked in natural language, renders charts, and lets you pin those charts to dashboards. Some plans add scheduled runs, alerting, delivery to other tools, embedded views, and additional access controls.

We may change, add to or remove features. Where a change materially reduces functionality you rely on, we will give you reasonable notice, and where a plan you have paid for is affected you may cancel and receive a prorated refund for the unused term.

2. Accounts, workspaces and roles

You need an account to use iDash. Keep your credentials confidential, and tell us promptly if you believe an account has been compromised. You are responsible for activity carried out under your account.

Workspaces have roles: owner, admin, member and viewer. Owners and admins control who is invited, what role they hold, and which data sources are connected. A workspace must always have at least one owner. If you administer a workspace, you are responsible for the people you invite into it and for removing them when they should no longer have access.

3. Your data and your connections

Your data stays yours. That includes the contents of the databases you connect, the schema metadata read during introspection, the questions you ask, the models you curate and the dashboards you build. We claim no ownership over any of it, and we use it only to provide the service to you and as described in our Privacy Policy.

You are responsible for the connections you create. By connecting a data source you confirm that you have the right to grant access to it, that you have the authority to do so on behalf of whoever owns it, and that doing so does not breach an obligation you owe to someone else.

We strongly recommend connecting a read-only replica and a credential with the narrowest privileges that answer your questions. iDash opens connections read-only and restricts statements to a single SELECT, but the privileges attached to the credential you supply remain your decision.

You grant us the limited licence needed to host, process, transmit and display your content for the purpose of operating the service, and for no other purpose.

4. Acceptable use

Use iDash for its purpose, and not for the following.

  • Connecting a data source you are not authorised to access, or using the service to access data you would not otherwise be entitled to see.
  • Attempting to bypass the read-only restrictions, the statement guard, the sandbox boundaries, or any access control in the product.
  • Probing, scanning or load testing our infrastructure without written permission, or interfering with other customers' use of the service.
  • Reverse engineering the service, or using it to build a competing product.
  • Reselling, sublicensing or sharing seats between people. A seat belongs to one named person.
  • Uploading material that is unlawful, or using the service in a way that breaches the law that applies to you.

5. Generated output and what it means

iDash uses a language model to interpret your question and select metrics, dimensions and filters, and a deterministic compiler to turn that selection into a query. The compiler prevents fan-out and double counting by deduplicating on primary keys, and refuses to run a query where it cannot prove the shape is safe.

That guarantee is specific, and it is important that you understand its limits. The compiler verifies the arithmetic shape of the query it produces. It does not verify that the question you asked is the right question, that the data in your source is accurate or complete, that your semantic model reflects how your business defines a term, or that the interpretation of an ambiguous request matched your intent.

Every result carries a provenance label. A result labelled semantic was produced through the compiler with that protection applied. A result labelled raw was produced by fallback SQL and does not carry it. Both are read-only, and both are yours to check.

You remain responsible for decisions made using output from the service. Where a number will be used for financial reporting, regulatory filing, or any purpose with legal effect, review it against your own records before relying on it. iDash is a tool for reaching a number quickly and defensibly, not a substitute for the controls your organisation applies to numbers that matter.

6. Fees, billing and taxes

Paid plans are charged per editor seat, monthly or annually in advance, at the price shown at the time you subscribe. Viewers are free on paid plans. Adding seats mid term is charged prorated for the remainder of the term, and removing seats credits the next renewal.

Fees exclude taxes, which are added where applicable. Payments are non-refundable except where these terms say otherwise or the law requires it. If an invoice is unpaid after we have told you it is overdue, we may suspend the workspace until it is settled.

We may change prices. A change takes effect at your next renewal, and we will tell you at least 30 days before it does. If you do not want to continue at the new price, cancel before renewal.

7. Free plans and trials

Free plans and trials are provided so you can evaluate the service. They carry the same read-only guarantees and the same correctness behaviour as paid plans, and the limits shown on the pricing page. We may change those limits, and we may suspend or remove a free workspace that has been inactive for an extended period after telling you first.

8. Confidentiality

Each of us may receive information from the other that is confidential. We will protect yours with at least the care we apply to our own, use it only to perform under these terms, and disclose it only to people who need it and are bound by similar obligations. This does not apply to information that is public, that was already known without obligation, or that is independently developed. Where disclosure is legally required, we will tell you first if we are permitted to.

9. Intellectual property

We own the service, its software, its design and its documentation, including the semantic compiler and everything around it. These terms grant you the right to use the service, not to own any part of it. Feedback you send us can be used freely to improve the product, without obligation to you.

You own your content, your semantic model curation, and the dashboards you build. The marks, logos and names of the databases and warehouses iDash connects to belong to their respective owners, and appear only to identify what the product connects to.

10. Third party services

The service depends on third parties, including cloud hosting, a language model provider, email delivery and payment processing. Where you configure your own provider or your own keys, that relationship is between you and them, and their terms apply to your use of their service. We are not responsible for a third party service failing or changing, though we will tell you when it affects you.

11. Availability and support

We work to keep iDash available continuously, and we do not guarantee uninterrupted operation except where a service level is agreed in an enterprise order form. Planned maintenance is announced in advance where we can. Support channels and response expectations depend on your plan and are described on the pricing page.

12. Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care, and that we will not materially reduce its security during a paid term.

Beyond that, and to the extent the law allows, the service is provided as it is, without other warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be error free, that every question will be answerable, or that any particular answer will suit a purpose you have in mind.

13. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, lost revenue, lost goodwill or lost or corrupted data, however caused.

Our total aggregate liability arising out of or relating to these terms is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim. Where you are on a free plan, that amount is the fees you would have paid for one month of the Team plan for the seats in use.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.

14. Indemnity

You will defend and indemnify us against claims arising from your content, from a data source you connected without the right to do so, or from your use of the service in breach of these terms. We will defend and indemnify you against a third party claim that the service as provided by us infringes their intellectual property rights, provided you tell us promptly and let us handle the defence.

15. Term and termination

These terms apply while you have an account. You may cancel a subscription at any time in billing settings, and the workspace continues until the end of the paid term. You may delete your workspace at any time.

We may suspend or terminate access if you materially breach these terms and do not fix it within 14 days of being told, if an invoice remains unpaid after notice, or immediately where your use puts the service or other customers at risk.

On termination, your right to use the service ends. Export your dashboards and definitions before you go. After termination we delete your content as described in the Privacy Policy. Sections that by their nature should survive, including confidentiality, intellectual property, liability and governing law, survive termination.

16. Changes to these terms

We may update these terms. If a change materially affects your rights, we will tell you at least 30 days before it takes effect, in the application or by email. Continuing to use the service after that date means you accept the updated terms. If you do not, you may cancel and receive a prorated refund for the unused part of a paid term.

17. Governing law and disputes

These terms are governed by the laws of India, without regard to conflict of law rules, and the courts of India have exclusive jurisdiction over any dispute arising out of them. Where an enterprise order form specifies a different governing law or forum, that order form takes precedence for the customer who signed it.

Before starting formal proceedings, both of us agree to raise the issue in writing and try in good faith to resolve it for 30 days.

18. General

These terms, together with the Privacy Policy and any order form you sign, are the whole agreement between us on this subject. If a provision is found unenforceable, the rest continues to apply. A failure to enforce a term is not a waiver of it. You may not assign these terms without our consent, except to a successor of your business. Neither party is liable for delays caused by events genuinely outside its control.
